Agreement Overview

These Terms of Service ("Terms") govern your access to and use of NetOfficials' website and services. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

1. Services Description

NetOfficials provides professional software development services, including but not limited to:

  • Web application development
  • Mobile application development
  • Custom software development
  • API development and integration
  • Cloud development and deployment
  • Development team augmentation
  • Technical consulting and support

2. Service Agreements

Project Scope

All development projects will be governed by separate project agreements that define:

  • Project scope, deliverables, and timelines
  • Payment terms and pricing
  • Intellectual property arrangements
  • Acceptance criteria and testing procedures
  • Support and maintenance terms

Changes to Scope

Any changes to the agreed project scope must be documented in writing and may result in adjustments to timelines and costs. We will provide estimates for scope changes before implementation.

3. Payment Terms

Pricing and Invoicing

  • All prices are quoted in USD unless otherwise specified
  • Invoices are typically issued monthly or based on project milestones
  • Payment is due within 30 days of invoice date
  • Late payments may incur interest charges of 1.5% per month
  • We reserve the right to suspend services for overdue accounts

Refunds

Refunds are handled on a case-by-case basis. For ongoing projects, refunds may be provided for unused portions of prepaid services, minus any costs already incurred.

4. Intellectual Property

Client Ownership

Upon full payment, clients own the custom code and applications developed specifically for their project, subject to:

  • Exclusion of pre-existing NetOfficials intellectual property
  • Exclusion of third-party libraries and frameworks
  • Our right to use general methodologies and know-how

NetOfficials Intellectual Property

We retain ownership of our proprietary tools, frameworks, templates, and general business methodologies. Clients receive a license to use these as part of their delivered solution.

5. Confidentiality

We maintain strict confidentiality regarding all client information and project details:

  • Client data and business information is kept confidential
  • We may require separate NDAs for sensitive projects
  • Team members are bound by confidentiality agreements
  • We implement appropriate security measures to protect client data

6. Warranties and Disclaimers

Service Warranty

We warrant that our services will be performed in a professional manner consistent with industry standards. We will correct any defects in our deliverables at no additional cost during the warranty period.

Disclaimers

EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

7. Limitation of Liability

Our total liability for any claims arising from our services will not exceed the total amount paid by the client for the specific project. We are not liable for indirect, incidental, or consequential damages including lost profits or business interruption.

8. Client Responsibilities

Clients are responsible for:

  • Providing accurate and complete project requirements
  • Timely feedback and approvals
  • Access to necessary systems and resources
  • Compliance with applicable laws and regulations
  • Backup and security of their own data

9. Termination

Termination by Either Party

Either party may terminate ongoing services with 30 days written notice. In case of termination:

  • Client pays for all work completed to the termination date
  • We deliver all completed deliverables
  • Both parties return confidential information
  • Survival clauses remain in effect

Immediate Termination

We may terminate services immediately for material breach, non-payment, or if continuation would violate applicable laws.

10. Dispute Resolution

Any disputes will first be addressed through good faith negotiations. If unresolved, disputes will be settled through binding arbitration in accordance with the rules of the American Arbitration Association.

11. Force Majeure

Neither party will be liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, government actions, or other force majeure events.

12. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

13. Changes to Terms

We may update these Terms from time to time. Significant changes will be communicated to active clients. Continued use of our services after changes constitutes acceptance of the updated Terms.
